The access, ordering and use of the credit reports provided to you over the Internet is governed by the following terms and conditions:
  1. Equifax grants Subscriber the right to access the credit reports listed in the applicable schedule for the purpose of conducting searches and obtaining printed copies of the results of such searches for use in the normal course of its business ("Services"). The Services are provided to you through the Internet for a fee. Subscriber authorizes Equifax to process a credit card transaction for any applicable fees incurred by Subscriber for the Services.

  2. Subscriber will be allowed to use the Services obtained from Equifax solely and exclusively for its internal use. The credit reports may be used as one of the factors in your business decision and will not be the sole criteria used to determine an applicant's eligibility for credit or otherwise.

  3. At Subscriber's request and in order to accommodate Subscriber, Equifax shall keep a record of Subscriber's credit card number and pertinent information ("Subscriber's Information"). Equifax agrees to use Subscriber's Information solely for the payment of fees resulting from the delivery of Services by Equifax. Equifax agrees to keep Subscriber's Information in confidence and not to disclose Subscriber's Information to any third party without Subscriber's approval. Equifax, in maintaining Subscriber's Information in confidence, shall use the same degree of care that it uses to protect its own confidential and proprietary information, but not less than a reasonable degree of care under the circumstances. Without limiting the generality of the foregoing, Equifax shall not be liable for any inadvertent or accidental disclosure of Subscriber's Information, nor shall it be liable for any disclosure of Subscriber's Information which does not result from a wilful act or omission.

  4. Subscriber acknowledges that the credit reports were compiled, selected and arranged by Equifax through the expenditure of substantial time, money and efforts and that they constitute valuable assets to Equifax. Therefore, Subscriber shall not sell, transfer, assign, publish, distribute, disseminate, allow any third party access to, or convey the credit reports or any part thereof to any third party.

  5. The credit reports are protected by copyright and/or other proprietary rights of Equifax and Subscriber agrees to protect Equifax's copyright and/or other proprietary rights in the credit reports. Subscriber shall comply with reasonable request from Equifax to protect its right in the credit reports and shall not reproduce or copy the credit reports except as provided in these terms and conditions.

  6. Equifax shall have no liability for any inaccuracies, errors or omissions with respect to the information provided through the Services or contained in the credit reports or their delivery, regardless of the source or cause of any such errors or omissions.

  7. Equifax warrants that it has the right to grant Subscriber the right to access the credit reports, to perform the searches and to print a copy of such searches. Except as expressly stated in this section, there are no warranties, conditions or representations, whether express or implied, related to the Services, including but not limited to any implied warranty of merchantability or fitness for a particular purpose. Equifax shall not be liable for any loss or injury arising out of the performance of the Services, whether caused or arisen out of its negligent act or omission, the preparation and delivery of the credit reports, or in performing anything related thereto. Notwithstanding the above, Equifax total aggregate liability under this Agreement is limited to and shall not exceed one hundred dollars ($100). In no event shall Equifax be liable for any indirect, incidental, special, consequential, accessories or punitive damages arising out of the delivery, performance or failure thereof, of the Services, even if Equifax has been advised of the possibility of such damages. Without limiting the generality of the foregoing, Equifax does not warrant that the Services will be performed without interruption or error or will meet Subscriber's requirements. To that effect, Subscriber is solely responsible for the formulation of all searches and results obtained.

  8. This Agreement and the performance of the Services hereunder shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein.

  9. It is the express wish of Subscriber and Equifax that this Agreement and any related documents be drawn up in English. Equifax et le souscripteur conviennent que la présente convention et tous les documents s'y rattachant soient rédigés en anglais.
